1. Acceptance of Terms

By accessing or using AutoagentAI's services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

2. Services Provided

AutoagentAI provides managed AI automation services for car dealerships. Our services include but are not limited to:

  • Lead data validation
  • Automated lead routing and alerts
  • CRM integration and synchronization
  • Automated follow-up workflows
  • Analytics and reporting

3. Subscription & Billing

Services are provided on a subscription basis. Pricing is determined based on your selected plan and usage volume. Payment terms will be outlined in your service agreement.

  • Subscriptions are billed monthly or annually
  • Fees are non-refundable except as required by law
  • We reserve the right to modify pricing with 30 days' notice
  • You may cancel your subscription at any time

4. User Responsibilities

As a user of AutoagentAI, you agree to:

  • Provide accurate information during registration and setup
  • Maintain the security of your account credentials
  • Use the service in compliance with all applicable laws and regulations
  • Not attempt to reverse engineer or compromise our systems
  • Ensure you have proper consent to process lead data through our platform

5. Prohibited Use

You may not use AutoagentAI services to:

  • Violate any laws or regulations
  • Send spam or unsolicited communications
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Engage in fraudulent activities
  • Harass or harm others

6. Disclaimers & Warranties

AutoagentAI services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee:

  • Uninterrupted or error-free service
  • Specific results or outcomes from using our platform
  • Accuracy of third-party data used (though we use reputable sources)

7. Limitation of Liability

To the maximum extent permitted by law, AutoagentAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

8. Termination

We reserve the right to suspend or terminate your access to our services at any time for:

  • Violation of these terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Any reason with 30 days' notice

Upon termination, your access to the service will cease, and we will delete your data according to our data retention policy.

9. Data Protection & Technical Measures

AutoagentAI implements strict Technical and Organizational Measures (TOMs) to ensure the confidentiality, integrity, and availability of your data, in compliance with GDPR.

9.1. Data Sovereignty

All primary data processing and storage infrastructure is geographically localized within the European Economic Area (EEA) to maintain strict adherence to EU data residency requirements.

9.2. Security Controls

  • Encryption: Data is encrypted in transit (SSL/TLS 1.2+) and at rest (storage tier encryption).
  • Access Control: Strict Role-Based Access Control (RBAC) and IP-whitelisting for internal services.
  • Data Minimization: Logs are automatically purged on a strict schedule (24h for access logs, 7 days for automation logs).

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

11. Changes to Terms

We may update these terms from time to time. We will notify you of any material changes by email or through our platform. Your continued use of the service after such changes constitutes acceptance of the new terms.
